Our Services include training, coaching, and consulting services governed by the following Terms of Service. By accessing or using our Services, you agree to comply with and be bound by these Terms. These Terms outline the rights and responsibilities of both you and us, including limitations on liability, disclaimers of warranties, and provisions related to intellectual property. 1. Nature of Our Services:

Our organization provides comprehensive professional development services that include training, coaching, and consulting. Our primary objective is to help individuals further their knowledge and skills to excel in their chosen career paths.

Our training programs are designed to provide a structured learning experience that covers all the essential aspects of the subject matter.

Our coaching sessions are tailored to meet each client's unique needs, and we work closely with them to identify areas for improvement and provide practical solutions.

Additionally, our consulting services are aimed at helping clients develop and implement effective strategies that align with their business goals. We take pride in the quality of our services and their positive impact on our client's personal and professional lives.​

2. User Responsibilities:

Users are expected to use services responsibly that do not infringe upon the rights of other users or violate any laws or regulations. This includes refraining from engaging in illegal activities or using the service to harass, defame, or discriminate against others.

Additionally, users should ensure that their use of the service does not adversely affect the quality or availability of the service for others. It is also important to comply with all applicable laws and regulations, including data privacy, intellectual property, and online conduct. Failure to adhere to these guidelines may result in suspension, termination, legal action, or other consequences.​

3. Account Creation and Usage:

To avail of certain features, users need to create an account. This process requires users to provide personal information such as their name, email address, and a secure password. It is the responsibility of the users to maintain the confidentiality of their account information and ensure that it is not shared with any unauthorized parties.

Users are solely responsible for all activities that take place under their account. This includes any content they post, messages they send, or actions they take using the features provided. Users must use their accounts responsibly and ethically and comply with all applicable laws and regulations.

If users suspect any unauthorized access to their account or suspicious activity, they should immediately notify the service provider and change their password. The service provider will take the necessary measures to investigate and resolve the issue directly.​

4. Liability Disclaimer:

​ Please be advised that we cannot be held legally liable for any consequences that may result from using our services. While we endeavour to provide accurate and helpful information, we do not make any express or implied warranties, representations, or endorsements of any kind, including but not limited to the accuracy, completeness, timeliness, reliability, suitability or availability of the information contained in our service.

By using our service, you agree to indemnify, defend, and hold us harmless from all claims, damages, losses, liabilities, costs, and expenses arising from or in connection with your use of our service. This includes but is not limited to claims related to your violation of these terms, infringement of intellectual property rights, or any harm caused to third parties.

 

5. Refunds/ Exchanges:

Please note that the fees are considered final and non-refundable once you have paid for any products, training courses, webinars, or courses on our learning platform. This means that we cannot offer refunds or exchanges for any reason, including but not limited to change of mind, schedule conflicts, or technical difficulties. We encourage you to carefully review the details of the course or product before purchasing to ensure that it is the right fit for your needs.

 

6. Cancellation Policy for Coaching Sessions:

1. Cancellation Notice:

Clients must inform Neuro of any session cancellation by emailing [Your Contact Email] by 8 pm EST on the evening before the scheduled session.

2. Cancellation Fees:
  • First Cancellation: Clients will incur a cancellation fee of 15% of the session fee for the first instance of not providing appropriate notice.

  • Second Cancellation: Clients will incur a cancellation fee equal to 20% of the session fee for the second instance of not providing appropriate notice.

  • Third Cancellation: Clients will incur a cancellation fee of 40% of the session fee for the third instance of not providing appropriate notice.

  • Subsequent Cancellations: Any cancellations beyond the third occurrence will result in a cancellation fee equivalent to the total cost of the scheduled session.

 
3. No-Show Policy:

 

If a client fails to cancel a scheduled coaching session by 8 pm EST the evening before the day of their session, the entire coaching fee for that session will be charged.

4. Emergency Exceptions:

 

The cancellation policy allows for waiving the cancellation fee in case of genuine emergencies or unforeseen circumstances at the discretion of the coach's manager.

5. Rescheduling:

 

Clients are welcome to request a rescheduling of their sessions without incurring additional fees. However, to avoid inconveniencing other clients and coaches, the request must be made at least 24 hours before the session.

6. Late Arrivals:

 

Clients arriving late to a coaching session should note that they will only receive the remaining scheduled time. This means the session will end at the originally scheduled time, regardless of the client's arrival time. If a client is running late, they may contact the coach to inform them of their estimated arrival time, but it is important to note that no additional time will be added to compensate for lateness.

7. Communication of Cancellation:

 

The client is responsible for communicating any cancellations through the agreed-upon channels. Failure to do so may result in the entire coaching fee being charged. Notice should be communicated through email only.

8. Cancellation Method: Email Only

At Neuro, we value clear communication and want to ensure a streamlined cancellation process. Therefore, we kindly request that all cancellation requests be submitted through email. This ensures that your cancellation is documented promptly and efficiently.

Clients must inform Neuro of any session cancellation by emailing [Your Contact Email] by 8 pm EST on the evening before the scheduled session.

Please follow the steps below to cancel a coaching session:

  1. Compose an Email: Email [Your Contact Email] with the subject line "Cancellation Request."

  2. Include Details: In the body of the email, provide your full name, the date and time of the scheduled session, and a brief reason for the cancellation.

  3. Receive Confirmation: Once your cancellation request is received and processed, you will receive a confirmation email acknowledging the cancellation and any applicable fees.

This email-only cancellation process is designed to maintain a clear record of all communication and ensure that both parties have a written record of the cancellation request. A copy of the cancellation policy and process will be provided to each client when they receive their informational email before the start of their first session.

You acknowledge and agree to our cancellation policy by accessing the coaching programs.

 

9. Taxation and Harmonized Sales Tax (HST) Disclosure

​Please note that the prices listed for our products and services at Neuro, which is in Ontario, Canada, do not include the Harmonized Sales Tax (HST). The HST will be calculated and added separately to the total amount during checkout or when invoiced under Ontario tax regulations. We believe in being transparent about our pricing policy so that our customers are fully informed about the cost breakdown of our offerings.

The applicable HST rate, as mandated by the Province of Ontario, will be applied to your transactions. This aligns with our commitment to providing transparent and honest communication regarding the charges associated with your purchase.

6. Termination of Services:
Termination of Service Statement:

At Neuro, we are committed to providing our clients with the best business consulting, training, and coaching services. We are confident in our ability to deliver outstanding results, but we understand that circumstances may arise that require the termination of our services. Our Termination of Service Policy outlines the terms and conditions that clients and Neuro must adhere to when ending our professional relationship. We take this policy seriously and expect all parties to do the same. When it comes to our clients, we pride ourselves on delivering top-notch services, but we will not hesitate to terminate our engagement if necessary.

 

1. Client Initiated Termination:

Client-Initiated Termination Statement:

We understand that there may be situations where you need to end your services with Neuro, and we want to ensure that you are fully aware of the termination process. We value your partnership, and it's important that you understand and agree to the terms outlined in the service agreement or contract you signed for the specific service. By initiating the termination process, you acknowledge and agree to these terms.

Adherence to Contract:

The client must acknowledge that they must comply with the terms and conditions stated in the signed service agreement or contract for the specific service they wish to terminate. These terms include but are not limited to, termination fees, payment obligations, project status at the time of termination, and any other contractual obligations mentioned in the agreement.

Termination Fees:

The client understands that, as stated in the service agreement, termination fees may apply. These fees are intended to cover the expenses incurred due to the early conclusion of the project, including the work completed, resources allocated, and any third-party expenses that may have arisen until the termination date.

Payment Obligations:

When the client decides to terminate the service, they must fulfill any outstanding payment obligations for the services provided until the termination date. This includes payments for completed project milestones, deliverables, or any other billing terms agreed upon in the service agreement.

 
Contractual Obligations:

The client agrees to fulfill any remaining contractual obligations beyond termination, including confidentiality clauses, intellectual property rights, and other commitments outlined in the original service agreement.

The client affirms their understanding and acceptance of the terms outlined in the client-initiated termination policy and the corresponding service agreement or contract by initiating termination. This approach ensures a transparent and cooperative process during the termination of services.

 

2. Termination by Neuro:

Our company has the authority to terminate its services with any client if:

a. Breach of Agreement: The client has violated the terms and conditions of the service agreement, including non-payment, non-cooperation, or unethical behaviour.

b. Unlawful Conduct: The client engages in unlawful or unethical conduct during our engagement.

c. Failure to Implement Recommendations: The client consistently fails to implement recommended strategies or solutions agreed upon during consulting or training sessions.

d. Failure to Provide Necessary Information: The client fails to provide the necessary information or access required to provide services successfully.

3. Notice Period:

If a notice period is required for termination, both parties agree to adhere to the timeframe outlined in the service agreement. If no notice period is specified, the termination will be effective immediately upon receipt of written notice.

4. Outstanding Payments:

In the event of termination, any outstanding fees or charges incurred up to the effective termination date will become immediately due and payable.

5. Post-Termination Obligations:

Upon termination, both parties remain bound by obligations that should survive termination, including confidentiality, intellectual property, and indemnification clauses.

7. Dispute Resolution:

In service termination disputes, both parties agree to negotiate in good faith.

8. Immediate Termination:

Neuro reserves the right to terminate services immediately, without prior notice, if the client's conduct poses a severe risk to Neuro, its employees, or other clients.

10. Updates to Termination Policy:

This Termination of Service Policy may be updated periodically. Clients will be notified of material changes, and the revised policy will be posted on our website.

8. Intellectual Property:

 

a. All the content, materials, and intellectual property provided by Neuro through our Services are exclusively owned by Neuro. When you use our Services, you are granted a limited, non-transferable license to access and use the materials only for personal, non-commercial purposes. Please note that this license can be revoked at any time, at our discretion.​

b. Restrictions on Use:

1. You are strictly prohibited from sharing your login information with anyone else.

2. It is not allowed to print, copy, paste, or record any sessions, information, or materials provided by our instructors.

3. The materials provided are for your personal use only and cannot be duplicated, sold, or shared with others in any form, whether for commercial or non-commercial purposes. This includes selling or offering the materials to third parties, whether modified or original.​

 

c. Intellectual Property Infringement: i. Any infringement of our intellectual property rights will be dealt with legally and may result in legal action to the full extent of the law. ii. Users who violate these terms may face immediate termination of access to our Services and legal consequences.

9. User Conduct:

a. Respectful Behavior: i. Users are expected to treat instructors and other users with respect and courtesy. ii. Disruptive or disrespectful behaviour towards instructors or other users is strictly prohibited.

b. Abusive Behavior: i. Our company does not tolerate any form of abusive behaviour between users. ii. Abusive behaviour includes but is not limited to harassment, discrimination, or any other harmful actions toward instructors or fellow users.

c. Consequences of Violation: i. Users engaging in disrespectful or abusive behaviour may be immediately removed from courses or training sessions. ii. Severe violations may result in terminating a user's access to our Services.

10. User Interaction:

a. Mutual Respect: Users are expected to interact with each other with mutual respect, understanding, and professionalism.

b. Prohibited Activities: Users shall not engage in activities that may disrupt the learning environment, including but not limited to i. Posting inappropriate content. ii. Using offensive language. iii. Engaging in any form of discrimination.

c. Company's Right to Act: i. Our company reserves the right to moderate, monitor, or remove content or users that violate these Terms or disrupt the learning environment. ii. Our company is not responsible for the interactions or conduct of users outside the scope of our Services.

11. Dispute Resolution:

Any disputes arising from or relating to these Terms or using our Services shall be resolved through good-faith negotiation via email. The dispute may be escalated to formal legal proceedings if a resolution cannot be reached.

 
7. Updates to Terms of Service:

These Terms may be updated periodically, with users notified of material changes.
